These documents govern your use of the GUAD platform at guad.ai. Please read them carefully. Effective date: August 22, 2026. Last updated: August 22, 2026.

Privacy Policy

Your Privacy Matters

Effective: August 22, 2026 Last Updated: August 22, 2026 Applies to: guad.ai
Summary: GUAD collects the minimum data necessary to operate the platform. Your conversations are saved server-side so your history is there when you come back; they are held in a secured, access-controlled database in which every record is scoped to the account that created it, and they are not sold, not shared, and not accessible to anyone but you. GUAD does not train AI models, and never uses your stored information to train, tune, or evaluate any model. When you use your own API key (BYOK), those keys are stored in a securely encrypted database and are never shared with or disclosed to third parties.

1. Overview & Scope

This Privacy Policy describes how GUAD ("GUAD," "we," "us," or "our") collects, uses, stores, and shares information when you access or use the GUAD platform, including the website at guad.ai, all associated sub-pages, and all associated GUAD-branded products and features (collectively, the "Service").

By using the Service, you agree to the collection and use of information in accordance with this Policy. If you do not agree, please discontinue use of the Service. This Policy applies to all users regardless of their subscription tier (Free, Pro, or Expert).

2. Information We Collect

2.1 Information You Provide Directly

  • Account Information: When you register for a GUAD account, we collect your email address and a password (stored in hashed form). We may also collect a display name if you choose to provide one.
  • Subscription & Payment Information: If you upgrade to a Pro or Expert plan, payment is processed by a third-party payment processor (e.g., Stripe). GUAD does not store your full credit card number, CVV, or bank account details. We receive a token reference and billing metadata (last four digits, card brand, billing country) from the payment processor.
  • Communications: If you contact us via email or a support form, we retain those communications to respond and improve the Service.

2.2 Conversation & Usage Data

  • Conversation History: GUAD saves your conversation messages (your inputs and AI-generated responses) server-side so that your chat history persists across sessions and devices. Stored conversations are held in a secured database protected by encryption in transit, authenticated access, and record-level access controls that scope every conversation to the account that created it. No other user and no third party can read your conversations. GUAD personnel do not access the contents of your conversations except where you have explicitly asked us to in order to resolve a support issue you have raised, or where we are compelled to by valid legal process. You can view, continue, or delete any conversation at any time, and deletion is permanent.
  • Advanced Memory: If you enable Advanced Memory, the message chunks and vector embeddings it uses for verbatim recall are generated and stored locally on your own device. They are not uploaded to, indexed by, or retained on GUAD servers.
  • Image Generation Requests: Prompts submitted for image generation and any resulting images may be stored temporarily. We do not train models on your image generation requests without explicit opt-in consent.
  • Google Integration Data: If you connect Google Calendar, Gmail, or Google Reminders, GUAD accesses only the specific data scopes you authorize via Google OAuth. We process this data in real-time to fulfill your requests and do not persistently store your Google account content beyond what is necessary to complete the requested action within your active session. We do not retain your Gmail message content on GUAD servers beyond the immediate session.
  • Uploaded Files: When you upload supported files (.json, .txt, .html, .csv, .md, .js, and .css) to a conversation, GUAD processes and stores their contents as part of that conversation so the AI can read and work with them. Uploaded file contents are deleted when you delete the associated conversation.
  • Web Search Queries: When you use GUAD's web search and live internet access, the relevant portions of your request are sent to a third-party search provider to retrieve up-to-date results. These queries are processed to return results and are not used to build advertising profiles.
  • Telegram Integration Data: If you connect Telegram, we process the messages you send to and receive from GUAD through Telegram in order to deliver responses. This is handled the same way as in-app conversations and is subject to Telegram's own terms and privacy policy for data in transit through their service.
  • Sub Agents, Skills & Workflows: Any custom instructions, Skills (saved as / commands), Sub Agent configurations, and agent workflows you create are stored on your account so they are available across sessions.

2.3 Automatically Collected Technical Data

  • Log Data: When you use the Service, our servers automatically record your IP address, browser type and version, operating system, referring URL, pages visited, and timestamps. Log data is retained for up to 90 days and used for security, debugging, and abuse prevention.
  • Device Information: We may collect information about the device you use to access GUAD, including hardware model and screen resolution, to optimize the interface.

2.4 Your Own API Keys (BYOK)

When you use the Bring-Your-Own-Key (BYOK) feature to connect a third-party AI provider (for example OpenAI, Anthropic, Google, Groq, a local model server, or a custom endpoint), your API key is stored only on your own device and is never stored on GUAD servers. It is sent with each request solely to route that request to your chosen provider — through GUAD servers for cloud providers, or directly from your browser for model servers running on your own device — and is never disclosed to third parties or used for any other purpose. Because the key lives on your device, you will need to enter it again on each device you use. You are solely responsible for any costs incurred through your third-party provider account and should revoke any key you believe has been compromised.

2.5 Guad Code (Desktop)

Guad Code is a downloadable desktop application that runs on your own hardware and operates inside a single folder you choose, referred to as the workspace. Guad Code is bring-your-own-key: it sends your prompts and the file context it needs directly from your machine to the AI provider whose API key you supplied, and that exchange is governed by your agreement with that provider. Your workspace files, your prompts, and the outputs Guad Code produces are not transmitted to or stored on GUAD servers.

3. How We Use Your Information

We use the information we collect for the following purposes:

  • Service Delivery: To authenticate your account, store and display your conversation history, process subscription payments, and operate all platform features.
  • Communications: To send you service-critical notifications (e.g., billing receipts, security alerts, Terms changes). We will only send marketing emails if you have explicitly opted in, and you may opt out at any time.
  • Legal Compliance: To comply with applicable laws, respond to valid legal requests, and protect the rights of GUAD and its users.
What we never do with your information. GUAD does not use your conversations, prompts, uploaded files, generated images, memories, or any other information stored on your account to train, fine-tune, or evaluate AI models — not our own, and not any third party's. We do not sell, rent, license, or trade your personal data. We do not disclose it to advertisers or data brokers, and we do not use it to build advertising or behavioural profiles. Information saved to your account is used for one purpose only: delivering the Service to you.

4. Sharing & Disclosure

We share your information only in the following circumstances:

  • AI Model Providers: Your conversation messages are transmitted to the third-party AI model provider serving the model you have selected, so that a response can be generated. GUAD does not develop, train, or fine-tune AI models of its own. Every model on the platform is a third-party model that GUAD accesses under a licence permitting commercial use, obtained from established and trusted providers. The names used on the platform (Guava, Astro, Comet, Pulsar, and Quasar) are GUAD's own product names for its curated selections and system-prompt configurations of those licensed third-party models; GUAD does not own or claim ownership of any underlying model weights or parameters. Each provider may have its own privacy policy governing how it handles inference inputs, and you should review the applicable policy for details.
  • Service Providers: We use trusted third-party companies to operate the Service (e.g., cloud hosting, payment processing). These processors are contractually prohibited from using your data for any purpose other than providing services to GUAD.
  • Integration Partners: When you connect an integration such as Google (Calendar, Gmail, Reminders) or Telegram, the data necessary to operate that integration passes through the relevant partner. Such data is handled according to that partner's own terms and privacy policy, and GUAD only exchanges what is needed to deliver the feature you enabled.
  • Legal Requirements: We may disclose information if required to do so by law or in response to a valid subpoena, court order, or governmental request. We will attempt to notify you of such requests where legally permissible.
  • Business Transfers: If GUAD is acquired, merged, or transfers substantially all of its assets, your information may be transferred as part of that transaction. We will notify you of any such change and your options.
  • With Your Consent: We will share information in any other circumstances with your explicit consent.

5. Data Retention

We retain your data for as long as your account is active or as needed to provide the Service. You may request deletion of your account and associated data at any time. Upon account deletion:

  • Your conversation history will be permanently deleted within 30 days.
  • Your account credentials will be removed from our active systems within 30 days.
  • Anonymized, aggregate usage data may be retained indefinitely.
  • We may retain data for longer periods where required by law or for legitimate business purposes (e.g., fraud investigation, billing dispute records for up to 7 years).

6. Your Rights & Choices

Depending on your jurisdiction, you may have the following rights regarding your personal data:

RightWhat It MeansHow to Exercise
AccessRequest a copy of the personal data we hold about you.Email contact@guad.ai
CorrectionRequest correction of inaccurate data.Account settings or email
DeletionRequest deletion of your account and data.Account settings → Delete Account
PortabilityRequest your data in a machine-readable format.Email contact@guad.ai
Opt-Out of MarketingUnsubscribe from promotional emails.Unsubscribe link in any email
Withdraw ConsentWithdraw any consent you have previously given.Account settings or email

Residents of the European Economic Area (EEA), United Kingdom, California (CCPA), and other jurisdictions with specific data rights laws may have additional rights. Contact us at contact@guad.ai to exercise any of your rights.

7. Security

We implement industry-standard security measures to protect your information, including encryption in transit (TLS), hashed password storage, authenticated API access, and regular security reviews. Conversation records, memories, uploaded file contents, and stored API keys are subject to record-level access controls that bind each record to the account that created it, so one account cannot read another account's data.

However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials. If we become aware of a breach affecting your personal data, we will notify you and any applicable regulator within the timeframes required by law.

8. Children's Privacy

The GUAD Service is not directed to individuals under the age of 13 (or under 16 in the EEA). We do not knowingly collect personal information from children under these ages. If you believe we have inadvertently collected such information, please contact us immediately at contact@guad.ai and we will take steps to delete it.

9. International Data Transfers

GUAD operates globally. Your data may be transferred to and processed in countries other than your country of residence, including countries whose data protection laws may differ from those in your jurisdiction. Where required, we implement appropriate safeguards such as Standard Contractual Clauses to protect cross-border data transfers.

10. Changes to This Policy

We may update this Privacy Policy from time to time. We will notify you of material changes by email (if you have an account) or by posting a prominent notice on the Service prior to the change becoming effective. Your continued use of the Service after such notice constitutes your acceptance of the updated Policy.

Terms of Service

Terms of Service

Effective: August 22, 2026 Last Updated: August 22, 2026
Important: Please read these Terms carefully before using GUAD. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GUAD ("GUAD," "we," "us," or "our") governing your access to and use of the GUAD platform, including guad.ai, the GUAD web application, Guad Code, and all related features and services (collectively, the "Service").

You must be at least 13 years of age (or 16 in the European Economic Area) to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Account Registration & Responsibilities

  • You must provide accurate, current, and complete information when creating an account and keep your information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must notify us immediately at contact@guad.ai if you suspect any unauthorized use of your account.
  • You may not create accounts using automated methods, create multiple accounts to circumvent usage limits, or share your account credentials with third parties.
  • GUAD reserves the right to terminate accounts that are inactive for 12 consecutive months on the Free plan, with 30 days' notice.

3. Subscriptions, Billing & Cancellation

3.1 Subscription Plans

GUAD offers the following plans: Free ($0/month), Pro ($19.99/month), and Expert ($99.99/month). Model usage is included in the subscription fee; models differ in how much of a plan's usage allowance they draw. Features and usage limits are as described on the GUAD pricing page and are subject to change with notice.

3.2 Billing

Paid subscriptions are billed on a recurring monthly basis. By providing a payment method, you authorize GUAD to charge you the subscription fee on each billing date. All fees are stated in US dollars and are exclusive of taxes, which may be added where applicable by law.

3.3 Cancellation & Refunds

  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.
  • GUAD does not provide refunds for partial subscription months unless required by applicable law or at GUAD's sole discretion in exceptional circumstances.
  • If GUAD discontinues the Service or a material feature, we will provide a pro-rated refund for unused prepaid subscription time.

3.4 Price Changes

GUAD may change subscription pricing with at least 30 days' advance notice. Continued use of the Service after the effective date of a price change constitutes acceptance. If you disagree with a price change, you may cancel before the change takes effect.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to use the Service to:

  • Generate, distribute, or facilitate content that is illegal, defamatory, fraudulent, deceptive, threatening, harassing, or abusive.
  • Create or distribute malware, harmful code, phishing material, or any content designed to compromise systems or deceive users.
  • Generate content that sexually exploits or depicts minors in any way.
  • Violate the intellectual property rights of any third party, including by reproducing copyrighted works without authorization.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Attempt to reverse-engineer, scrape, crawl, or extract data from the Service in an unauthorized manner.
  • Circumvent or attempt to circumvent any rate limits, usage restrictions, or access controls.
  • Use the Service to train competing AI models or build substantially similar products without express written permission from GUAD.
  • Use the Service in any manner that could damage, disable, overburden, or impair GUAD's infrastructure.
  • Engage in unauthorized data collection about other users.
AI-Generated Content Warning: AI models may produce inaccurate, incomplete, or misleading information. You are solely responsible for verifying the accuracy of any AI-generated output before relying on it for decisions, especially in medical, legal, financial, or safety-critical contexts. GUAD makes no warranty regarding the accuracy or reliability of AI-generated content.

5. Intellectual Property

5.1 GUAD's Intellectual Property

The Service, including its design, code, trademarks, branding, and all GUAD-branded feature and configuration names (Guava, Astro, Comet, Pulsar, Quasar, Quick Edit, Guad Code, and Forge), are owned by or licensed to GUAD and protected by applicable intellectual property laws. GUAD does not claim ownership of any underlying AI model weights or parameters; the model names listed above refer to GUAD's curated selections and system-prompt configurations of third-party models licensed for commercial use from trusted providers. GUAD does not train or fine-tune any model of its own. These Terms do not grant you any ownership interest in GUAD's intellectual property.

5.2 Your Content

You retain ownership of the input you provide to the Service ("Your Input"). By submitting Your Input, you grant GUAD a limited, non-exclusive license to process Your Input solely to provide the Service to you. We do not claim ownership of your inputs or AI-generated outputs.

5.3 AI-Generated Output

To the extent that outputs generated by the Service are original and eligible for copyright protection, GUAD assigns any rights we may hold in those outputs to you. Note that AI-generated content may not be eligible for copyright protection in all jurisdictions, and you are encouraged to seek legal advice regarding your specific use case.

6. Third-Party Services & Integrations

GUAD integrates with third-party services including Google (Calendar, Gmail, Reminders), Telegram, and third-party AI model providers. Use of these integrations is subject to the applicable third-party's terms of service and privacy policies. GUAD is not responsible for the availability, accuracy, or content of third-party services.

When you use the BYOK (Bring Your Own Key) feature, you are directly accessing a third-party AI provider using your own credentials. Any usage, costs, and data handling by that third-party provider are governed solely by your agreement with that provider. GUAD has no liability for charges incurred through your third-party API usage.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

GUAD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. GUAD DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED OUTPUT.

7.1 Benchmark and Performance Figures

Any benchmark scores, comparison charts, throughput figures, or other performance metrics published by GUAD — including those shown on the GUAD website — are approximate and indicative only. They are derived from GUAD's own internal development testing, are not produced or verified by an independent third party, and are not intended to represent a standardised or peer-reviewed benchmark result.

Model performance varies materially with the prompt, context length, task type, provider-side configuration, and load conditions at the time of use. Figures were accurate to GUAD's internal testing at the time of publication and may change without notice as models and infrastructure are updated. These figures are provided for general comparison between the models offered on the platform and must not be relied upon as a guarantee, warranty, or representation of the performance you will experience. GUAD accepts no liability for decisions made in reliance on published performance figures.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUAD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL GUAD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO GUAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, GUAD's liability is limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless GUAD and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Input or User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

10. Termination

GUAD may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms, non-payment, or legal compliance reasons. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and dispute resolution) shall survive.

You may terminate your account at any time through account settings. Termination does not entitle you to any refund except as provided in Section 3.3.

11. Dispute Resolution & Governing Law

11.1 Informal Resolution First

Before commencing any formal proceeding, you and GUAD agree to attempt to resolve the dispute informally. Contact us at contact@guad.ai with a description of the dispute and the relief you are seeking. If the matter is not resolved within thirty (30) days of that notice, either party may pursue its available legal remedies.

11.2 Governing Law

These Terms, and any dispute arising out of or relating to these Terms or the Service, are governed by and construed in accordance with the laws of the State of New Jersey, United States of America, without regard to its conflict-of-laws principles or to the United Nations Convention on Contracts for the International Sale of Goods.

11.3 Venue

You and GUAD agree that the state and federal courts located in the State of New Jersey shall have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Service, and each party consents to the personal jurisdiction of those courts and waives any objection based on inconvenient forum. Either party may bring an individual claim in a small claims court of competent jurisdiction.

11.4 Consumer Rights Are Preserved

Nothing in this Section limits any right you have under the mandatory consumer protection laws of your country of residence. If you are a consumer resident in the European Economic Area or the United Kingdom, you retain any right you have under local law to bring proceedings in, and to the protection of the mandatory laws of, your country of residence, notwithstanding the provisions above.

12. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and User Content Agreement, constitute the entire agreement between you and GUAD regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of GUAD's right to enforce it in the future.
  • Assignment: You may not assign your rights under these Terms without GUAD's prior written consent. GUAD may assign its rights freely.
  • Updates: We may update these Terms with notice. Continued use after the effective date of changes constitutes acceptance.

Cookie Policy

Cookie Policy

Effective: August 22, 2026 Last Updated: August 22, 2026
Quick Summary: GUAD uses only strictly necessary and functional storage — the items required to keep you signed in and to remember your own settings. GUAD does not use analytics, advertising, retargeting, or any other tracking technology, and no third party places cookies or storage on your device through the Service. Because nothing GUAD stores is non-essential in the tracking sense, no cookie consent banner is required.

1. What Are Cookies?

Cookies are small text files placed on your device by a website when you visit it. They allow the website to recognize your device, remember your preferences, and maintain session state. Similar technologies such as local storage, session storage, and pixel tags serve comparable functions and are also covered by this policy.

Cookies can be "first-party" (set by GUAD) or "third-party" (set by other domains we work with). They can be "session cookies" that expire when you close your browser, or "persistent cookies" that remain for a defined period.

2. Categories of Cookies We Use

Category Purpose Can Be Disabled?
Strictly Necessary Required to operate the Service. These include session authentication tokens, CSRF protection tokens, and user preference flags (e.g., selected AI model, theme). Without these, GUAD cannot function. No — these are essential
Functional / Preference Remember your settings and preferences across sessions, such as your last-used model, interface layout preferences, and language settings. Yes — via settings
GUAD does not use analytics cookies, advertising cookies, retargeting cookies, error-tracking or session-replay tools, or any technology that tracks your behaviour across third-party websites. GUAD does not build behavioural profiles and does not share device or usage data with any advertising network or data broker.

3. Specific Cookies & Technologies

Name / Technology Type Purpose Duration
guad_session Strictly Necessary Maintains your authenticated session. Session (30 days if "Remember me")
guad_csrf Strictly Necessary Cross-site request forgery protection. Session
guad_prefs Functional Stores UI preferences (model selection, theme). 1 year
BYOK API Keys Functional Stores your third-party API keys in a securely encrypted database. Keys are never disclosed to third parties. Until you delete the key or close your account
Local storage (browser) Functional Interface preferences held on your own device by your browser — for example your chosen view mode and display settings. This data stays on your device and is never transmitted to GUAD. Until you clear your browser storage

4. Google OAuth & Third-Party Integration Tokens

When you authorize Google integrations (Calendar, Gmail, Reminders), Google issues OAuth tokens to GUAD. These tokens are stored securely (server-side, encrypted) and used solely to fulfill your authorized requests to Google services within GUAD. We do not use these tokens for any purpose beyond operating the connected feature. You may revoke Google access at any time via your Google Account settings or GUAD account settings. Tokens and credentials for other integrations you enable, such as Telegram, are handled the same way — stored securely, used only to operate the connected feature, and revocable at any time.

5. Managing & Controlling Cookies

5.1 In GUAD

GUAD sets no analytics or advertising storage, so there is no tracking to opt out of and no consent banner to dismiss. Functional preferences can be changed at any time in your GUAD account settings, and clearing your browser storage will reset them. Strictly necessary items cannot be disabled without signing you out, because they are what keep your session authenticated.

5.2 In Your Browser

You can control cookies through your browser settings. Below are links to the cookie settings pages for common browsers:

  • Google Chrome
  • Mozilla Firefox
  • Apple Safari
  • Microsoft Edge

Note that disabling strictly necessary cookies will prevent GUAD from functioning. Clearing cookies will log you out and reset your preferences.

6. Do Not Track

Some browsers offer a "Do Not Track" (DNT) signal. GUAD currently does not alter its data collection practices in response to DNT signals, as there is no universal standard for how these signals should be interpreted. We will update this section if our approach changes.

7. Updates to This Policy

We may update this Cookie Policy to reflect changes in our practices or for legal, regulatory, or operational reasons. We will notify you of significant changes through the Service or by email. The "Last Updated" date at the top reflects the most recent revision.

8. Contact

User Content Agreement

User Content Agreement

Effective: August 22, 2026 Last Updated: August 22, 2026
Summary: You own the content you submit to GUAD. We only use it to operate the Service for you. You are responsible for what you submit, and you must not submit content that is unlawful, harmful, or violates third-party rights.

This UCA is incorporated into and subject to the GUAD Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.

2. Ownership of Your Content

You retain full ownership of all User Content you submit to GUAD. GUAD does not claim ownership of your inputs, prompts, or any original creative work you provide. The AI-generated outputs produced in response to your inputs are, to the extent GUAD holds any rights therein, assigned to you as described in the Terms of Service.

3. License Grant to GUAD

By submitting User Content to GUAD, you grant GUAD a limited, non-exclusive, worldwide, royalty-free license to:

  • Process and transmit your User Content to third-party AI model providers for the purpose of generating responses.
  • Store your User Content on GUAD servers to provide conversation history and other features.
  • Cache and temporarily reproduce your User Content as technically necessary to deliver the Service.
  • Display your User Content back to you within the GUAD interface.

This license is solely for the purpose of operating the Service for you. GUAD does not use your User Content to train AI models, does not sell access to your User Content to third parties, and does not use it for advertising purposes, without your explicit opt-in consent.

4. Prohibited Content

You agree not to submit User Content that:

4.1 Illegal or Harmful Content

  • Violates any applicable federal, state, local, or international law or regulation.
  • Contains, facilitates, or promotes illegal activity, including fraud, theft, harassment, or unauthorized access to systems.
  • Depicts, promotes, or solicits child sexual abuse material (CSAM) or sexual content involving minors. GUAD has a zero-tolerance policy and will report such content to the appropriate authorities.
  • Constitutes threats, incitement to violence, or promotion of terrorism or hate groups.
  • Involves the generation of defamatory, libelous, or maliciously false statements about real individuals.

4.2 Intellectual Property Violations

  • Infringes the copyright, trademark, trade secret, or other intellectual property rights of any third party.
  • Circumvents technical protection measures or DRM systems.
  • Attempts to use GUAD to reproduce, clone, or extract substantial portions of proprietary software, databases, or creative works without authorization.

4.3 Security & System Integrity

  • Attempts to probe, scan, or test GUAD's systems for vulnerabilities without authorization.
  • Submits malicious code, SQL injection payloads, or any input designed to compromise GUAD systems or extract data.
  • Uses the Service to generate malware, spyware, ransomware, phishing pages, or other malicious software.
  • Attempts to manipulate or jailbreak AI models to produce prohibited content or bypass safety systems.

4.4 Privacy Violations

  • Contains private information about third parties without their consent, including personal identification numbers, financial account details, medical records, or private communications.
  • Attempts to aggregate or harvest personal data about individuals using GUAD features.
  • Uses Google integration access to extract or misuse data about third parties beyond the scope of your own account.

5. Your Representations & Warranties

By submitting User Content, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions to submit the User Content and to grant GUAD the license described in Section 3.
  • Your User Content does not and will not infringe, violate, or misappropriate any third-party intellectual property rights, privacy rights, publicity rights, or any other rights.
  • Your User Content complies with all applicable laws and these Terms.
  • You are not a person barred from using the Service under applicable law, including economic sanctions.

6. Forge, Quick Edit & Guad Code Output Ownership

6.1 Forge-Generated Code

HTML, CSS, and JavaScript code generated by the Forge feature in response to your inputs is produced for your use. GUAD assigns to you any rights it may hold in the specific code outputs generated for your requests. You may use, modify, distribute, and commercialize Forge outputs, subject to any applicable open-source licenses governing third-party libraries that may be incorporated in generated code, and subject to the prohibited use provisions of these Terms and the Terms of Service.

6.2 Quick Edit and Guad Code Output

Code and technical outputs generated through the Quick Edit feature (available on all plans) are similarly assigned to you. Guad Code, the downloadable desktop coding harness, runs on your own machine on a bring-your-own-key basis: outputs it produces are yours, and your use of the underlying model is governed by your agreement with the provider whose key you supplied. Where either tool draws on public repositories or documentation sources, generated outputs may be subject to the licences of those underlying sources. You are responsible for reviewing and complying with applicable open-source or third-party licences in any code you deploy.

6.3 Image Generation Output

Images generated by GUAD's image generation feature in response to your prompts are provided for your use. GUAD assigns any rights it may hold in generated images to you. Note that AI-generated images may be subject to copyright and other legal uncertainty in some jurisdictions. You should seek independent legal advice if you intend to commercialize generated images at scale. You may not use generated images to impersonate real individuals, create non-consensual intimate imagery, or violate third-party rights.

7. Content Moderation & Enforcement

GUAD reserves the right, but not the obligation, to review, monitor, flag, and remove User Content that violates these Terms, at our sole discretion. Enforcement actions may include:

  • Removing or refusing to process prohibited User Content.
  • Issuing warnings to users who submit borderline or prohibited content.
  • Temporarily or permanently suspending accounts that repeatedly or egregiously violate these Terms.
  • Reporting User Content to law enforcement or relevant authorities where legally required or appropriate (e.g., CSAM reports to NCMEC).

GUAD implements automated safety filters and may decline to generate certain content regardless of how a request is phrased. These safety measures are a core part of the platform and are not negotiable.

8. Feedback & Suggestions

If you provide GUAD with feedback, suggestions, ideas, or improvements regarding the Service ("Feedback"), you grant GUAD a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, modify, and commercialize that Feedback without compensation to you. This is necessary to allow GUAD to continuously improve the platform.

9. Copyright Infringement (DMCA Notice)

If you believe that content on the GUAD platform infringes your copyright, you may submit a DMCA takedown notice to our designated agent with the following information:

  1. Identification of the copyrighted work you claim has been infringed.
  2. Identification of the material alleged to be infringing, and information reasonably sufficient to locate it on the Service.
  3. Your contact information (name, address, phone, email).
  4. A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
  5. A statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
  6. Your physical or electronic signature.
